Kallelse till årsstämma i GomSpace Group.

Aktieägarna i GomSpace Group AB (publ), org.nr 559026-1888, kallas härmed till årsstämma onsdagen den 31 maj 2023 klockan 11.00 i Setterwalls Advokatbyrås lokaler på adress Sturegatan 10 i Stockholm. Inregistrering till stämman börjar klockan 10.30.

CEO Carsten Drachmann comments on the outcome of the rights issue. GomSpace secures SEK 43.5 million in cash for its ongoing operation from completed rights issue.


CEO Carsten Drachmann comments: "First of all, I want to start by thanking our shareholders for their continued trust and support in the recent rights issue. We managed to reach an 83% subscription rate, which I consider a good achievement in the current situation. In the interest of clarity, I also wanted to highlight that the net result of the rights issue for GomSpace, is SEK 43.5 million in cash, or in other words GomSpace has received additional SEK 43.5 million in cash in May 2023, after the full completion of the rights issue.

The convertible loans, which were issued by leading investors and management in 2022, have all been converted to shares in April and the loan obligations has been fulfilled. It means the loans are no longer on the balance sheet of GomSpace and they have been paid in full.


The credit facility from the European Investment Bank (EIB) is not affected by the rights issue. GomSpace has requested and received the first tranche (loan) of EUR 5 million (approx. SEK 56.5 million) on February 9, 2023. That cash has been received. GomSpace has the option of requesting up to an additional EUR 13 million (SEK 147 million) in the coming years, subject to terms and conditions”.

Carsten continues: “With a strengthened cash position, we continue to work towards the transformation of GomSpace into a profitable company, leveraging our globally recognized brand, our people & technology, and our unique experience in space”.



GomSpace offentliggör utfall i genomförd företrädesemission (2023-04-21)

GomSpace Group AB offentliggör härmed utfallet i den företrädesemission av nya aktier som beslutades av styrelsen den 17 mars 2023 med stöd av bemyndigande från årsstämman den 22 april 2022 (”Företrädesemissionen”). Totalt har 77 939 396 nya aktier, motsvarande cirka 101 MSEK eller cirka 83 procent av Företrädesemissionen, tecknats med och utan stöd av teckningsrätter varav 41 225 646 nya aktier har tecknats mot betalning genom kvittning av det konvertibla lånet om cirka 53,6 MSEK i enlighet med de teckningsåtaganden som beskrivs i det prospekt som upprättats av Bolaget avseende Företrädesemissionen. Genom Företrädesemissionen tillförs Bolaget cirka 101 MSEK (före avdrag för kostnader hänförliga till Företrädesemissionen) varav Bolaget tillförs omkring 47 MSEK kontant för dess verksamhet och omkring 53,6 MSEK erhålls genom kvittning av det konvertibla lånet och således inte tillförs Bolaget kontant.


SAIC & GomSpace signs Memorandum of Understanding
SAIC & GomSpace will partner for CubeSat, MicroSat and SmallSats Systems and Solutions for the Americas market. (2023-04-18)


Science Applications International Corp. (NYSE: SAIC) and GomSpace Group AB (GOMX) today signed a strategic partnership to provide government and commercial customers in the Americas with new space-based mission capabilities leveraging CubeSat’s and SmallSats. This partnership combines SAIC’s expansive mission domain knowledge, engineering, software, and integration capabilities, with GomSpace’s spacecraft technologies to achieve best-in-class solutions which can be rapidly deployed.

The partnership will also deliver system elements such as software products, spacecraft components, fully integrated spacecraft, reliable in-orbit services and mission operations. SAIC becomes the exclusive U.S. integrator of GomSpace satellites and licensed product distributor, services reseller and space vehicle and mission integrator for GomSpace’s U.S. Government customers.

The agreement, a Memorandum of Understanding, was signed at the Space Symposium in Colorado Springs, by David Ray, SAIC Senior Vice President of Space, and Frank Tobin, Executive Chairman of GomSpace North America.


GomSpace receives order from Argotec at a value of 845,000 EUR. (2023-04-11)

Italian based Argotec has placed an order for power systems at a value of 845,000 EUR (9,5MSEK) to be delivered in the 12 coming months.

Today, GomSpace signed a contract with Argotec S.r.l. to supply power systems from the standard product portfolio. The contract value is 845,000 EUR (9,5MSEK). Delivery will take place during the 12 coming months and is expected to be completed in Q1, 2024.


The Juventas CubeSat joining the Hera mission will integrate the change of the
Intersatellite Link and the mission electronics will be further radiation hardened.

In July 2020, GomSpace and the European Space Agency (ESA) signed a contract for the implementation of the Juventas CubeSat in support of the Hera mission.

The Juventas CubeSat mission is led by GomSpace Luxembourg SARL with support from a range of European subcontractors. GomSpace and ESA have signed a Contract Change
Notice (CCN) with an increased value of €1.354.000 (approx. 15.1 MSEK) for
the consortium.

The amount for GomSpace in the CCN is provided to cover additional work foreseen as an impact from a change of the Intersatellite Link baseline and additional radiation hardening activities on the satellite electronic units.

The project continues towards the implementation of the Juventas spacecraft foreseen to be delivered by end of 2023.

About the Hera mission:
Together, NASA’s DART and Hera missions, and the international research collaboration known as the Asteroid Impact and Deflection Assessment will validate deflection technology that be critical in the future to avoid asteroids collision with Earth. Juventas is a 6U nanosatellite containing a low frequency radar, named JuRa, as its primary payload.


GomSpace signs an important contract to supply standard products for a satellite constellation. (2023-03-15)

GomSpace signs a contract with a European integrator of smallsats to supply the first NanoCom Link X standard products for a European satellite constellation.

The contract value of the first delivery is 3,7 MSEK with the option to extend the agreement for additional units and equipment throughout the project. The first units will be delivered as early as Q2 2023.



Carsten Drachmann has been appointed CEO of GomSpace as of 13 March 2023.

NuSpace and GomSpace signs MoU to develop an extended value proposition in Singapore NewSpace. (2023-02-15)

GomSpace has signed a Memorandum of Understanding (MoU) with NuSpace Pte. Ltd., a leading Singapore Space company providing Space-based infrastructures services (IOT & Connectivity). This MoU builds on NuSpace's expertise and experience in developing satellite as a service projects and GomSpace's more than 15 years of experience delivering successful space missions and equipment. By combining NuSpace's local presence with GomSpace's engineering expertise and space heritage, the parties can create an extended value proposition for Singapore's NewSpace Ecosystem.

GomSpace Group AB has entered a convertible loan agreement of SEK 53.6 million and announces the intention of the board of directors of the Company to resolve on a rights issue of between SEK 100 to 125 million (the “Rights Issue”). The terms and conditions for the Rights Issue will be announced following a decision by the board of directors to carry out the Rights Issue, indicatively during first quarter of 2023, with the intention to have the loan amount of SEK 53.6 million converted into new shares in the Rights Issue. The convertible loan is part of a broader financing plan to secure both the long-term funding of the ambitious product investment program announced by GomSpace earlier in 2022 and the short-term working capital needs of the Company, consisting of the SEK 53.6 million convertible loan, the EUR 18 million credit facility from the European Investment Bank announced earlier today and the intended Rights Issue of between SEK 100 to 125 million (of which SEK 53.6 million is intended to be contributed by way of set-off of the convertible loan).

Background and reasons

The convertible loan is part of a broader financing plan to secure both the long-term funding of the ambitious product investment program announced in the Company’s interim report for the first quarter of 2022 and the short-term working capital needs of the Company, consisting of the SEK 53.6 million convertible loan, the EUR 18 million credit facility from the European Investment Bank announced earlier today and the intended Rights Issue of between SEK 100 to 125 million (of which SEK 53.6 milion is intended to be contributed by way of set-off of the convertible loan).

The board of directors has assessed the most appropriate timing of the intended Rights Issue and, in light of moving forward with an equity financing besides a convertible loan and a credit facility, the time required for preparing and having a prospectus approved by the Swedish Financial Supervisory Authority, as well as the board of directors deeming it appropriate to initiate the subscription period after the publication of the Company’s financial report for the fourth quarter of 2022, intends to resolve on the Rights Issue and announce the terms and conditions, indicatively during the first quarter of 2023.


GomSpace signs EUR 18 million credit facility agreement with the European Investment Bank. (2022-11-25)

Today, GomSpace A/S (a wholly-owned Danish subsidiary of GomSpace Group AB) has signed a finance contract through which the European Investment Bank (the “EIB”), upon certain conditions, makes available a venture debt facility of up to EUR 18 million to GomSpace A/S for a research and development project relating to an enlarged satellite platform, part of the product investment program announced by GomSpace earlier in 2022. If GomSpace utilizes the facility, the EIB will be entitled to a predetermined number of warrants in GomSpace Group AB for each tranche.

GomSpace, HEMERIA and CS Group signs MoU. (2022-11-09)

GomsSpace has recently signed a Memorandum of Understanding (MoU) with HEMERIA, a leading French Space player present at the heart of national Small Sat ecosystem that designs, builds and supplies cutting edge space systems, and CS Group, a company that designs, develops, deploys, maintains and operates critical systems for Aeronautics, Transports, Space and Defense.

Through this MoU, GomSpace, HEMERIA and CS Group are voluntarily creating a partnership framework aiming at demonstrating the potential in joining forces to develop solutions building on expertise of each party.

Partnerships and cooperations are identified by our companies as key levers to strengthen SmallSat industries relevance and value proposition development towards customers while being active actors of the European Space sovereignty political strategy.

In addition, such frame is aiming at safeguarding the highly efficient and instrumental economical equation of NewSpace by avoiding unnecessary duplication of competencies, expertise and infrastructures.


GomSpace suspends all activities on a large customer project due to unpaid invoices and therefore adjusts outlook for 2022. (2022-10-09)

GomSpace have suspended all work on a large customer project due to unpaid invoices. This will impact the outlook for 2022. Revenue outlook will be lowered to M.SEK 190 to 250 (previously M.SEK 264 to 292) and EBIT margin will be reduced to -90% to -70% (previously better than -15%). The outlook reflects both the direct effect of the suspension and the indirect consequences.

As communicated in the Q2 financial report, ‘changes and missing payments from one large commercial customer has resulted in a negative cash flow from primary operating activities. We now conclude that the financial exposure amounts to M.SEK 57, whereof M.SEK 39 is unpaid invoices and M.SEK 18 work-in-progress not yet invoiced. GomSpace will write down the balance in Q3 2022.

The reason for the suspension is significant scope increase. The customer has not been willing to pay for the extra work, which has been requested by the customer and performed by GomSpace.

GomSpace has informed the customer that work will not be continued until outstanding invoices has been paid. In the meantime, GomSpace will allocate its resources to other customer and development projects.


GomSpace signs contract with Unseenlabs to deliver 6 more satellites. (2022-09-14)

The contract value is 43 MSEK including the authorization to proceed valued at 12 MSEK that started this project (Disclosed on July 7th). Expected delivery of the satellites are second half of 2023.

The satellites will be based on the upgraded platform co-developed with Unseenlabs in an ongoing project and will be significant reinforcement of Unseenlabs fleet of low Earth orbiting satellites.
